End User Licence Agreement
Last updated: September 2026. Covers the TScribe and Ureport applications (web, Android, iOS) and the UnityPulse Dictation browser extension (Chrome, Edge, Firefox).
1. Parties and scope
This End User Licence Agreement (“EULA”) is between you and Unitypulse, Nigeria (“we”, “us”). It covers the software you install or run to use our services: the TScribe and Ureport applications for the web, Android and iOS, and the UnityPulse Dictation browser extension for Chrome, Edge and Firefox (together, “the Software”). It sits alongside the Terms of Service, the Privacy Policy, the browser extension privacy notice and the Acceptable Use Policy. If this EULA and the Terms conflict about the Software itself, this EULA applies.
2. Licence grant
We grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the Software on devices you own or control, for lawful professional healthcare documentation, in accordance with this EULA. The Software is licensed, not sold. We and our licensors retain all rights not expressly granted.
3. Restrictions
You must not, and must not allow anyone else to:
- Copy, modify, adapt, translate or create derivative works of the Software
- Reverse-engineer, decompile or disassemble the Software, except to the extent the law expressly permits
- Rent, lease, lend, sell, sublicense or otherwise distribute the Software
- Remove or alter any proprietary notice
- Use the Software to build a competing product, or to probe, scan or test the vulnerability of our systems without written permission
- Circumvent any technical measure, including credit metering, device approval or two-factor authentication
4. Account and credits
The Software requires a UnityPulse account. Producing a report or filling a form consumes credits from the account you signed in with, or from your organisation’s shared pool. Live captions and interrupted drafts are never charged.
5. Your content
You own the clinical content you dictate and the templates you build. We claim no rights in them. Audio is transmitted to our transcription service over an encrypted connection and deleted after the draft is returned. Reports are not stored on our servers. Templates stay on your device unless you turn on cloud sync for your own account. Drafts that are interrupted are kept on your device or in the extension so they can be retried.
6. The browser extension
The extension reads and writes only the field you dictate into, on the page you are on, when you ask it to. It shows a floating microphone button on pages while it is switched on. Where it fills a form, it uses the labels of the fields on the form you chose, locally, to place the right values, and you review every field before anything is written. It does not read pages in the background, does not collect browsing history and does not send page content to us. The permissions it requests are explained on the extension page and in the extension privacy notice.
7. Updates
The Software may download and install updates automatically to add features, fix problems or improve security. Browser extensions update through the browser’s store mechanism. You agree to receive such updates as part of your use of the Software. We may retire old versions; where a version is no longer supported you may need to update to keep using the services.
8. App stores and browser stores
Where you obtained the Software from Google Play, the Apple App Store, the Chrome Web Store, Microsoft Edge Add-ons or Mozilla Add-ons, that store’s own terms also apply, and the store operator is not a party to this EULA and has no obligation to provide support or maintenance for the Software. Apple, Google, Microsoft and Mozilla are third-party beneficiaries of this EULA to the extent their terms require it.
9. Clinical use and no medical device
The Software is a documentation productivity aid. It is not a medical device and does not make clinical decisions, generate diagnoses or interpret images. Every report and every form entry it produces is a draft for a qualified clinician to review, edit and sign. You are solely responsible for the accuracy and appropriateness of any record submitted in your name or under your credentials.
10. Warranty and liability
The Software is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including fitness for a particular purpose and accuracy of transcription. We are not liable for any clinical outcome arising from reliance on AI-generated content without appropriate professional review, nor for loss caused by your device, network or records system. Our aggregate liability to you is limited to the amount you paid for the services in the three months preceding the claim.
11. Termination
This EULA is effective until terminated. It ends automatically if you breach it, or if you close your UnityPulse account. On termination you must stop using the Software and uninstall it. Sections 3, 5, 9, 10 and 12 survive termination.
12. Governing law
This EULA is governed by the laws of the Federal Republic of Nigeria, and any dispute is subject to the jurisdiction of the courts of Nigeria.
